These Terms of Service ("Terms") govern your access to and use of B2ALABS Technologies' ("B2ALABS," "we," "us," or "our") AI-native API management platform and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Services, you represent that you:

• Are at least 18 years of age
• Have the authority to bind yourself or your organization to these Terms
• Will comply with all applicable laws and regulations

2. Description of Services

B2ALABS provides an AI-native API management platform that includes:

• AI Gateway for LLM and traditional API management
• Intelligent security and threat detection
• Predictive analytics and monitoring
• Developer portal and documentation tools
• API orchestration and workflow automation

3. Account Registration

3.1 Account Creation

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are responsible for all activities under your account. Notify us immediately of any unauthorized access at security@b2alabs.com.

4. Subscription and Payment

4.1 Pricing

Our Services are offered on a subscription basis. Pricing is based on usage and features as described in your service agreement or our pricing page.

4.2 Payment Terms

• All fees are exclusive of taxes unless stated otherwise
• Payment is due according to your billing cycle (monthly or annual)
• We accept major credit cards and enterprise invoicing for qualifying accounts
• Late payments may result in service suspension after 30 days

4.3 Price Changes

We reserve the right to modify pricing with 30 days' notice. Price changes will not affect your current billing cycle.

5. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Engage in denial-of-service attacks or similar disruptive activities
• Use the Services for illegal, fraudulent, or harmful purposes
• Resell or redistribute Services without authorization
• Reverse engineer or attempt to extract source code

6. Intellectual Property

6.1 Our IP

B2ALABS retains all rights to the Services, including software, algorithms, AI models, documentation, and trademarks. These Terms do not grant you any ownership rights.

6.2 Your Data

You retain ownership of all data you upload to the Services. You grant us a limited license to process your data solely to provide the Services.

6.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without obligation to you.

7. Service Level Agreement

Enterprise customers receive our standard SLA guaranteeing:

• 99.99% uptime for Enterprise tier
• 99.9% uptime for Growth tier
• Service credits for downtime exceeding SLA commitments

8. Data Protection

We process data in accordance with our Privacy Policy and applicable data protection laws including GDPR and CCPA. For enterprise customers, we offer Data Processing Agreements (DPAs) upon request.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information received from the other party. This includes API configurations, usage data, and any information designated as confidential.

10. Warranties and Disclaimers

10.1 Our Warranties

We warrant that the Services will perform substantially as described in documentation.

10.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE ARE NOT LIABLE FOR LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES

12. Indemnification

You agree to indemnify and hold B2ALABS harmless from any claims arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your data or APIs managed through the Services

13. Termination

13.1 By You

You may cancel your subscription at any time through your account settings or by contacting support.

13.2 By Us

We may suspend or terminate your account for:

• Violation of these Terms
• Non-payment after notice period
• Suspected fraudulent or illegal activity

13.3 Effect of Termination

Upon termination, your right to use the Services ends. We will retain your data for 30 days, during which you may export it. After 30 days, data will be deleted.

14. Modifications to Terms

We may modify these Terms with 30 days' notice for material changes. Continued use after modifications constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of [Jurisdiction]. Any disputes shall be resolved through binding arbitration in accordance with the rules of [Arbitration Body], except for injunctive relief which may be sought in courts of competent jurisdiction.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and B2ALABS.
